Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using NodeMarket ("the Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform. We may update these Terms from time to time; continued use constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use NodeMarket. By creating an account you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@nodemarket.shop if you suspect unauthorized access. NodeMarket is not liable for losses arising from unauthorized use of your account.

4. Description of Service

NodeMarket is a digital marketplace that connects creators ("Sellers") with customers ("Buyers") for the sale and purchase of AI-related digital products including but not limited to AI tools, prompts, workflows, templates, datasets, and models. NodeMarket acts as the facilitating platform and is not a party to transactions between Sellers and Buyers.

5. Seller Terms

• Sellers must provide original content and accurate, non-misleading product descriptions.
• Sellers retain full ownership of their intellectual property. By listing a product, Sellers grant NodeMarket a limited license to display, distribute, and promote the product on the Platform.
• Sellers are solely responsible for the quality, accuracy, legality, and support of their products.
• Sellers must connect a Stripe account via Stripe Connect to receive payouts. Sellers are responsible for complying with Stripe's terms of service.
• NodeMarket reserves the right to remove any product or suspend any Seller account that violates these Terms.

6. Buyer Terms

• Products are delivered digitally and made available for download immediately upon successful payment confirmation.
• All sales are final. Due to the digital nature of the products, refunds are generally not available unless required by applicable law.
• Refund requests may be considered on a case-by-case basis at NodeMarket's sole discretion. Contact support@nodemarket.shop for assistance.
• Buyers may not redistribute, resell, or share purchased products unless explicitly permitted by the Seller's license terms.

7. Fees, Pricing & Payouts

• Stripe may charge additional processing fees per its own fee schedule. These are separate from the NodeMarket platform fee.
• Sellers may request payouts of their available balance through the Seller Dashboard. Payouts are processed via Stripe and typically arrive within 2–7 business days depending on the Seller's bank.
• Sellers are responsible for any taxes applicable to their earnings. NodeMarket does not provide tax advice.
• All prices on the Platform are listed in USD unless otherwise specified.

8. Prohibited Content & Conduct

You may not use NodeMarket to:

• List, upload, or distribute content that is illegal, harmful, defamatory, obscene, or otherwise objectionable.
• Infringe on the intellectual property rights of any third party.
• Upload malware, viruses, or any other malicious software.
• Engage in fraudulent transactions, price manipulation, or fake reviews.
• Attempt to bypass security measures, reverse-engineer, or scrape the Platform.

NodeMarket reserves the right to remove any content and suspend or terminate accounts at its sole discretion.

9. Intellectual Property & DMCA

NodeMarket respects intellectual property rights. If you believe content on the Platform infringes your copyright, you may submit a DMCA takedown notice to support@nodemarket.shop with the following information: (a) identification of the copyrighted work, (b) the infringing material and its location, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate.

10. Privacy

Your use of NodeMarket is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NodeMarket does not warrant that the Platform will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODEMARKET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. NODEMARKET'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO NODEMARKET IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless NodeMarket and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

NodeMarket may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, indemnification, and limitation of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
